You will comply with all applicable law, regulation, and third party rights (including without limitation laws regarding the import or export of data or software, privacy, and local laws). You will not use the APIs to encourage or promote illegal activity or violation of third party rights. You will not violate any other terms of service with M2P Solutions Private Limited (“M2P”) (or its affiliates).

Privacy and Data Protection

Parties under this arrangement need to use such degree of care as is appropriate to avoid unauthorized access, use or disclosure and comply with security practices and procedures as prescribed in the Information Technology Act, 2000 and the rules made thereunder including Information Technology (Reasonable security practices and procedures and sensitive personal data or information Rules, 2011, the RBI rules and Regulations (as applicable) and any such data protection laws that may be applicable.

M2P shall abide by the all the Applicable Laws and security standards, regulations, requirements, guidelines, notifications including pursuant to PCI-DSS and ISO 27001 as may be imposed by any regulatory authority or RBI or as desirable.

The Parties shall comply with all the applicable laws, whether local, state or national.

Indemnity

You agree to indemnify and hold harmless M2P and its affiliates, suppliers, partners, officers, agents, and employees from and against any claim, demand, losses, damages or expenses (including reasonable attorney's fees) arising from any user content, your use of the Site, your connection to the Site, your violation of these Terms and Conditions or your violation of any rights of any third-party. Your indemnification obligation will survive the termination of these Terms and Conditions and your use of the Site.

Limitation of Liability

WHEN PERMITTED BY LAW, M2P AND ITS AFFILIATES, WILL NOT BE RESPONSIBLE FOR LOST PROFITS, REVENUES, OR DATA; FINANCIAL LOSSES; OR INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

M2P will not be liable:

• in respect of any loss of profits, income, revenue, use, production or anticipated savings.
• for any loss of business, contracts or commercial opportunities.
• for any loss of or damage to goodwill or reputation.
• in respect of any loss or corruption of any data, database or software.
• in respect of any special, indirect or consequential loss or damage.
• for any claim of infringement based on: (i) API which has been modified by parties other than M2P where the infringement claim would not have occurred in the absence of such modification; (ii) customer’s use of the API in conjunction with data where use with such data gave rise to the infringement claim; or (iii) customer’s use of the API outside the permitted scope of these terms.
• for any losses arising out of a force majeure event.

General

No breach of any provision of the Terms and Conditions will be waived except with the express written consent of the party not in breach.

We may change, suspend or discontinue any aspect of this Site or service at any time. M2P reserves the right to change system configurations, product specifications, upgrades, pricing, layouts, options and any other specifications at any time without notice. We may also impose limits or restrictions on certain services, features or content or restrict your access to parts or all of this Site without notice or liability.

The Terms and Conditions are made for the benefit of the parties, and is not intended to benefit any third party or be enforceable by any third party. The rights of the parties to terminate, rescind, or agree any amendment, waiver, variation or settlement under or relating to the Terms and Conditions are not subject to the consent of any third party.

The Agreement will be governed by and construed in accordance with the applicable laws.
